November 16, 1976 Paul B. Bachrach, Ph.D. 20 Tavano Road Ossining, New York 10562 Dear Dr. Bachrach: Your letter of November 11 and the views that it expresses are very much appreciated. In a changing world the past is not always prologue. I remain convinced that those holding the majority of the shares of Utah will be best serve by a merger with General Electric but I recognize that this is a judgment call and not everyone will see it as I see it. I have never claimed that my judgment was infallible but over the years it has not served the shareholders of Utah too badly. You have been an interested and loyal shareholder, and this is very much appreciated. This makes me the more sorry that we do not see eye to eye on this matter but even here your intended course of action is an indication of friendship. Obviously I would hope that you would change your mind but I recognize that you have not arrived at your present position without giving the matter much careful and conscientious thought. With kind regards, EWL/nf
